EULA
End User Licence Agreement
Effective date: 15 October 2026
Professional Web & Desktop Licence
Introduction
This End User Licence Agreement (“EULA” or “Agreement”) governs the use of typeface software designed, published or distributed by ZEROZORO (“Licensor”, “we”, “us” or “our”).
This Agreement is entered into between ZEROZORO and the individual or legal entity identified as the licence holder (“Licensee” or “you”).
By purchasing, downloading, installing or using the Font Software, you agree to the terms of this Agreement, subject to applicable mandatory laws and consumer rights.
If you purchase or accept this Agreement on behalf of an organisation, you confirm that you are authorised to act on its behalf.
Purchasing a typeface grants a licence to use the Font Software. It does not transfer ownership of the Font Software or its underlying intellectual property rights.
1. Definitions
1.1. Font Software
“Font Software” refers to the digital font files supplied by ZEROZORO, including their associated outlines, metrics, kerning, OpenType features, variable font data and related technical information.
The licence covers only the typeface families, styles, weights and formats identified in the purchase confirmation.
1.2. Licensee
The “Licensee” is the individual, company or organisation identified as the licence holder at the time of purchase.
The person completing the purchase or payment is not necessarily the Licensee.
1.3. Authorised Users
“Authorised Users” are individuals who may access and use the Font Software under the Licensee’s licence.
They include the Licensee’s employees, working owners, directors and other personnel, as well as external collaborators acting on the Licensee’s behalf under the conditions set out in Section 5.
1.4. Organisation Size
“Organisation Size” refers to the total number of people regularly working within the Licensee’s organisation, regardless of whether they personally use the Font Software.
This includes employees, working owners, directors and regular contractors who function as part of the organisation’s workforce.
Organisation Size is assessed at the level of the legal entity holding the licence, except where the Font Software is deployed across several entities of the same group or where a group-wide brand identity is concerned.
Separate companies, subsidiaries and affiliated entities are not automatically covered by a licence issued to another entity.
An organisation may not artificially divide its workforce or licensing arrangements to qualify for a lower licence tier.
1.5. Creative Outputs
“Creative Outputs” are graphic, printed, outlined, rendered or otherwise non-font materials created using the Font Software.
These include publications, images, illustrations, vector artwork, logotypes, videos, presentations and other designs that do not contain a usable or independently extractable copy of the Font Software.
1.6. Brand Identity Use
“Brand Identity Use” refers to the use of the typeface in logotypes, wordmarks, brand signatures or other distinctive elements intended to identify a company, product, service or organisation on a continuing basis.
1.7. Extended Licence
An “Extended Licence” is a separate written agreement or authorisation issued by ZEROZORO for uses exceeding the scope of the Standard Licence.
Extended Licences may specify additional rights, permitted users, entities, media, technical uses, duration and fees.
2. Grant of Licence
Upon payment of the applicable licence fee, ZEROZORO grants the Licensee a non-exclusive, non-transferable, worldwide and perpetual licence to install and use the purchased Font Software in accordance with this Agreement.
The Standard Licence permits commercial and non-commercial use within the scope defined below.
The licence applies only to the Font Software expressly identified in the purchase confirmation and does not automatically include additional typefaces, future releases, custom versions or separately sold products.
The licence does not permit the Licensee to resell, redistribute or sublicense the Font Software.
Any transfer to another legal entity requires ZEROZORO’s prior written consent, except where such restrictions are prohibited by applicable law.
3. Organisation Size and Licence Tiers
The price of the Standard Licence is determined by the Licensee’s Organisation Size at the time of purchase.
The following categories apply:
- Student / Non-commercial: available upon request, subject to separately agreed conditions.
- Individual: 1 person.
- Small: 2–10 people.
- Medium: 11–50 people.
- Large: 51–250 people.
- Bigger still?: 251 people or more — licence available upon request.
The Licensee must select the category corresponding to its actual Organisation Size and provide accurate information when purchasing the licence.
3.1. Installation and Users
The Standard Licence allows installation and use of the Font Software by Authorised Users within the licensed organisation.
There is no separate limit on the number of computers or devices, provided that:
- The Font Software is used only by Authorised Users.
- All access remains within the scope of the licensed organisation.
- The applicable Organisation Size tier is respected.
- The Font Software is not distributed to unauthorised third parties.
The licence is not automatically valid for subsidiaries, parent companies, affiliated businesses, franchisees or other independent organisations.
3.2. Changes in Organisation Size
The licence is perpetual and does not automatically expire if the Licensee’s organisation grows beyond its original size category.
However, before extending active access to the Font Software beyond the purchased tier, the Licensee must obtain an appropriate licence upgrade.
Where an organisation exceeds 250 people, continued use of the Font Software in new projects or by additional users may require an individually agreed licence.
Creative Outputs lawfully completed under the original licence may continue to be used without retroactive fees, subject to the provisions governing Brand Identity Use.
An increase in Organisation Size does not, by itself, invalidate previously authorised work.
4. Permitted Uses — Professional Web & Desktop
The Professional Web & Desktop Licence permits the following uses, subject to the conditions and exclusions of this Agreement.
4.1. Desktop and Print
The Licensee may install and use the Font Software in compatible desktop design, publishing, presentation and office applications.
Permitted uses include, without limitation:
- Books, magazines, newspapers and editorial publications.
- Posters, flyers, brochures and catalogues.
- Business stationery, invitations and correspondence.
- Reports, presentations and internal documents.
- Advertising, promotional and marketing materials.
- Signage, exhibitions and environmental graphics.
- Packaging artwork and product information.
- Other printed and graphic communications.
There is no general restriction on print runs, publication quantities or the geographical distribution of Creative Outputs under the Standard Licence.
4.2. Websites
The Licensee may embed supplied webfont files on websites owned or operated by the Licensee using CSS @font-face or comparable standard webfont technologies.
The Standard Licence does not impose a general limit on website traffic, pageviews or visitor numbers.
Multiple websites operated by the same licensed organisation are permitted.
Webfont files may be hosted directly or through a third-party hosting service or content delivery network acting on behalf of the Licensee.
The Licensee must take reasonable measures to prevent unauthorised redistribution of the Font Software.
This includes avoiding the publication of font files in downloadable archives, public source repositories or other environments intended to provide independent access to the Font Software.
Normal delivery of webfont resources to visitors’ browsers for the purpose of displaying a licensed website is permitted.
A website belonging to a separate client or organisation requires its own appropriate licence for webfont embedding, unless ZEROZORO has expressly authorised an alternative arrangement.
4.3. Digital Communication and Social Media
The Licensee may use the Font Software to create static or animated digital content, including:
- Social media posts and advertisements.
- Digital banners and promotional graphics.
- Online editorial materials.
- Email graphics and newsletters.
- Presentations and digital publications.
- Website graphics and other rendered content.
- Online marketing and advertising campaigns.
There are no general limits on audience size, impressions or geographic distribution for these uses.
The distribution of completed Creative Outputs does not authorise recipients to independently use or extract the Font Software.
4.4. Video and Motion Design
The Licensee may use the Font Software to create titles, captions, animations, motion graphics and other rendered audiovisual elements.
The Standard Licence includes:
- Online videos and website content.
- Social media videos and animations.
- Digital-only advertising.
- Online promotional campaigns.
- Motion design and animated graphic content distributed through online channels.
Television broadcast, theatrical film distribution and other uses specifically identified in Section 7 require an Extended Licence.
4.5. PDFs and Electronic Documents
The Licensee may create, publish and distribute PDF files and other electronic documents containing text produced with the Font Software.
Font embedding is permitted where it is necessary for normal document display, printing or distribution, provided that the document does not grant recipients independent access to usable Font Software.
Embedding must not enable unrestricted extraction, installation or redistribution of the Font Software.
The Licensee may not distribute the Font Software as a separate reusable asset within documents, templates or other files.
4.6. Packaging
The Licensee may use the Font Software for packaging design, including product descriptions, labels, informational typography and promotional graphics.
Ordinary packaging use is covered by the Standard Licence, without a general limit on production quantities.
Where the typeface is used as a principal or permanent brand identifier, the provisions of Section 6 apply.
Products or merchandise whose commercial value is significantly derived from the typographic design itself may require an Extended Licence under Section 7.
5. Agencies, Designers and Third-Party Clients
5.1. Creative Work for Clients
Design studios, creative agencies, freelancers and other professionals holding a valid licence may use the Font Software to create work for third-party clients.
This includes editorial design, visual identities, printed materials, advertising, websites, digital communication and other Creative Outputs.
The Licensee’s own Organisation Size determines the applicable licence tier for the creation of such work.
A client does not need to purchase a separate licence solely to receive and use completed Creative Outputs lawfully produced under this Agreement.
This permission remains subject to the rules governing Brand Identity Use, Extended Licences and Font Software access.
5.2. Delivery of Creative Outputs
The Licensee may deliver completed Creative Outputs to clients, including:
- Printed materials.
- Flattened or rasterised images.
- Properly outlined vector artwork.
- Rendered videos and animations.
- Static graphics and other materials that do not contain usable Font Software.
Clients may reproduce, publish and use those completed Creative Outputs for their intended purpose, provided that the use falls within the rights granted by this Agreement.
Delivery of Creative Outputs does not constitute a transfer of the Font Software licence.
5.3. Font Software Access by Clients
A licence held by an agency, designer or freelancer does not automatically authorise their client to install or independently use the Font Software.
If a client wishes to:
- Install the Font Software on its own computers.
- Use the typeface directly in design or office applications.
- Embed the Font Software on its own website.
- Produce new editable materials using the Font Software.
- Share the Font Software with employees, other agencies or external collaborators.
the client must obtain its own appropriate licence.
The client’s Organisation Size determines the applicable licence tier for this independent use.
5.4. External Collaborators
The Licensee may provide temporary access to the Font Software to external designers, developers, printers, production partners or other contractors working directly on authorised projects.
Such access must be limited to the relevant project and personnel reasonably necessary to complete the work.
The Licensee remains responsible for ensuring that these collaborators comply with this Agreement.
External collaborators must delete the Font Software when their authorised involvement ends, unless they hold an independent licence.
They may not retain the Font Software for unrelated projects, distribute it or use it for other clients without an appropriate licence.
5.5. Large Client Projects
A designer or agency may produce ordinary Creative Outputs for a client whose organisation exceeds 250 people under the designer’s or agency’s valid Standard Licence.
The size of the client does not automatically require an Extended Licence for editorial design, printed materials, digital campaigns or other project-based Creative Outputs.
However, a qualifying Brand Identity Use for an organisation exceeding 250 people requires an Extended Brand Licence, regardless of the size of the agency creating the identity.
Likewise, an agency’s licence cannot replace a separate licence required for the client’s own installations, webfont embedding or other independent Font Software use.
6. Logotypes and Brand Identity Use
6.1. Standard Brand Identity Permission
The Standard Licence permits the use of the typeface to create logotypes, wordmarks, brand signatures and visual identities for individuals and organisations with up to 250 people.
This permission includes permanent commercial use of the resulting Creative Outputs.
No additional logo fee is required for such organisations, provided that the Font Software is used in accordance with this Agreement.
The permission applies whether the identity is created internally or by a properly licensed external designer or agency.
6.2. Large Organisations
For organisations with more than 250 people, an Extended Brand Licence is required when the typeface is used as:
- A principal logotype or wordmark.
- A permanent brand signature or distinctive brand identifier.
- A core element of a brand-wide visual identity system.
- A primary corporate or brand typeface systematically deployed across the organisation’s visual communications.
This requirement applies regardless of whether the identity is created internally or by an external designer, studio or agency.
The relevant Organisation Size is that of the company, organisation or group whose identity is being developed and used.
Where a brand identity represents an entire group of companies, the size of that group must be taken into account.
An Extended Brand Licence may cover additional Font Software access and deployments where expressly stated, but does not automatically grant unlimited installations or unrestricted redistribution.
6.3. Incidental and Project-Based Use
The use of the typeface for headlines, editorial compositions, advertising campaigns, posters, promotional materials, packaging information or other individual creative projects does not automatically constitute Extended Brand Identity Use.
Such uses remain covered by the Standard Licence, including when the end client is a large organisation, provided that:
- The Font Software is used by appropriately licensed users.
- The typeface is not adopted as a principal or permanent element of the client’s brand identity.
- No separately licensed use under Section 7 is involved.
The scale, geographic reach, audience or print quantity of an individual campaign does not automatically require an Extended Licence.
6.4. Outlined Artwork
Converting typography into outlines, vector shapes, images or other static formats does not remove the licensing requirements applicable to Brand Identity Use.
A logotype created using the typeface remains subject to this Section even when the resulting artwork no longer contains editable text or Font Software.
This does not prevent the Licensee from modifying, adapting or customising outlined lettering as part of a permitted Creative Output.
6.5. Growth of an Existing Brand
A logotype or visual identity lawfully created for an organisation with up to 250 people may continue to be used in its existing form if the organisation subsequently grows beyond that threshold.
Such growth does not retrospectively invalidate previously authorised Creative Outputs.
However, a new or substantially redesigned identity, a new group-wide brand deployment or a new use of the Font Software outside the original licence scope may require an Extended Licence.
Continued use of existing artwork does not authorise additional installations, embedding or independent access to the Font Software beyond the applicable licence.
6.6. Trademark Rights
This Agreement permits the specified use of the typeface in visual identities and logotypes but does not transfer any intellectual property rights in the Font Software.
ZEROZORO does not guarantee that a particular logotype or brand identity is distinctive, available for trademark registration or free from conflicting third-party rights.
The Licensee or its client remains responsible for any necessary trademark searches, registrations and legal assessments.
7. Uses Requiring an Extended Licence
The following uses require prior written authorisation from ZEROZORO unless expressly covered by a separate agreement.
7.1. Extended Brand Identity
Principal logotypes, permanent brand identifiers and systematic brand-wide typographic identities for organisations exceeding 250 people, as defined in Section 6.
7.2. Broadcast and Theatrical Distribution
Use of the typeface in:
- Television programmes and television commercials.
- Cinema advertising.
- Films intended for theatrical distribution.
- Audiovisual productions intended for television broadcasting.
- Comparable broadcast or theatrical commercial exploitation.
Ordinary online videos, social media content and digital-only advertising remain covered by Section 4.4.
7.3. Merchandise and Products for Sale
Use of the typeface as a principal decorative, identifying or value-defining feature of products manufactured primarily for resale.
Examples may include clothing, accessories, posters, decorative objects and other merchandise whose commercial appeal is significantly derived from the typography itself.
Ordinary product packaging, labels, instructions and informational text are not automatically considered merchandise use.
7.4. Applications, Software and Games
Embedding, bundling or distributing usable Font Software within:
- Mobile applications.
- Desktop applications.
- Video games.
- Software products.
- Digital platforms allowing users to compose or edit text.
- Electronic devices or hardware.
- Other interactive products or systems incorporating Font Software.
Static or rendered graphics included in such products do not, by themselves, constitute Font Software embedding.
7.5. Templates and Editable Products
Distribution of Font Software through editable templates, design platforms, website builders, presentation products or other tools enabling third parties to independently use the typeface.
Templates containing only non-extractable, rendered or outlined Creative Outputs may be permitted under the Standard Licence, provided that the intended use is otherwise authorised.
7.6. Other Extended Uses
Any use involving redistribution of Font Software, independent font access by third parties or rights not expressly included in the Standard Licence requires separate written permission.
Extended Licence terms and fees are determined individually and must be confirmed in writing by ZEROZORO.
8. Restrictions
Except as expressly permitted by this Agreement or mandatory applicable law, the Licensee may not:
- Sell, rent, lend, sublicense, transfer or redistribute the Font Software.
- Share Font Software files with unauthorised individuals or organisations.
- Modify, adapt, rename or create derivative Font Software for redistribution or independent use without written permission.
- Reverse engineer, decompile or disassemble the Font Software, except where permitted by applicable law.
- Remove or alter copyright notices, trademark information or other proprietary metadata.
- Make Font Software files publicly available as standalone downloads.
- Embed the Font Software in applications, games, software or devices without the necessary licence.
- Use the Font Software beyond the applicable licence scope, Organisation Size or authorised uses.
- Allow third parties to use the Font Software independently without an appropriate licence.
- Present the Font Software or a modified version of it as a typeface independently created or owned by the Licensee.
The Licensee may create and modify outlined lettering, graphic compositions and other Creative Outputs where permitted by this Agreement.
Nothing in this Agreement restricts rights that cannot legally be waived or excluded.
9. Prohibited Uses
The Licensee must not use the Font Software for unlawful purposes.
The Font Software may not be used in connection with content or activities that unlawfully promote or incite hatred, discrimination or violence against individuals or groups, or that otherwise violate applicable law.
Any serious violation of this Section may constitute a material breach of this Agreement and may result in termination under Section 12, subject to applicable law.
Nothing in this Section is intended to restrict lawful expression beyond the limitations expressly established by this Agreement and applicable legislation.
10. Ownership and Intellectual Property
The Font Software and its associated intellectual property rights remain the exclusive property of ZEROZORO or the relevant rights holders.
The Licensee acquires a right to use the Font Software under the conditions of this Agreement, not ownership of the Font Software itself.
All rights not expressly granted remain reserved.
The Licensee or its clients may retain the rights they hold in original Creative Outputs created using the Font Software, subject to the underlying rights in the Font Software and the limitations of the applicable licence.
This Agreement does not prevent the Licensee from claiming appropriate rights in original layouts, graphic compositions, illustrations, lettering adaptations or other creative works produced with the Font Software.
11. Licence Upgrades and Additional Permissions
The Licensee may request a licence upgrade or additional permissions by contacting ZEROZORO.
An upgrade or Extended Licence may be required when:
- The Font Software is made accessible to additional users beyond the purchased Organisation Size tier.
- The Font Software is deployed across additional legal entities.
- A client wishes to install or independently use the Font Software.
- A qualifying Brand Identity Use is developed for an organisation exceeding 250 people.
- The Font Software is used for broadcast, merchandise, software embedding or another separately licensed purpose.
- A project expands beyond the original scope of authorised use.
ZEROZORO may offer an upgrade based on the difference between the applicable licence prices.
Any applicable additional fee and licensing conditions will be communicated before the upgrade is purchased.
Additional permissions become effective only after written confirmation by ZEROZORO and satisfaction of any agreed payment conditions.
The absence of a response from ZEROZORO does not constitute permission.
No retroactive fee is due solely because an organisation grows, provided that the relevant Creative Outputs were lawfully completed and their continued use remains authorised by this Agreement.
12. Duration and Termination
12.1. Duration
The Standard Licence is perpetual and does not require recurring subscription payments.
It remains valid unless terminated in accordance with this Agreement and applicable law.
12.2. Updates
ZEROZORO may provide technical corrections, revised font files or updates at its discretion, without prejudice to applicable statutory obligations.
The purchase of a licence does not automatically include future styles, additional typeface families, major new releases or custom development.
12.3. Breach of Agreement
If the Licensee materially breaches this Agreement, ZEROZORO may notify the Licensee in writing and request that the breach be corrected.
Where the breach is capable of remedy, the Licensee will have 30 days from receipt of the notice to correct it.
If the breach is not remedied within that period, ZEROZORO may terminate the affected licence, subject to applicable law.
In cases of serious, deliberate or irremediable infringement, ZEROZORO may pursue available legal remedies and terminate the affected licence where permitted by law.
12.4. Consequences of Termination
Following valid termination, the Licensee must cease unauthorised use of the Font Software and remove copies under its control, except where retention is legally required or permitted.
The consequences for previously distributed Creative Outputs depend on the nature of the breach, applicable law and any written agreement between the parties.
Termination does not affect rights and obligations that have already accrued.
13. Warranty and Liability
ZEROZORO aims to provide Font Software consistent with its published description and reasonably suitable for the uses for which it is supplied.
However, compatibility with every operating system, application, device or future technical environment cannot be guaranteed.
The Licensee is encouraged to test the Font Software in the intended production environment before significant publication or deployment.
To the extent permitted by applicable law, ZEROZORO is not liable for indirect or consequential losses, loss of profits, business interruption or other losses resulting from the use or inability to use the Font Software.
Nothing in this Agreement excludes or limits liability that cannot lawfully be excluded or limited.
In particular, nothing in this Agreement affects mandatory consumer rights or applicable statutory guarantees, including those concerning the conformity of digital content.
14. Consumer Rights and Digital Delivery
The Font Software is supplied as digital content without a physical medium.
Where the Licensee qualifies as a consumer under applicable law, statutory consumer rights remain applicable.
For purchases subject to a statutory right of withdrawal, immediate delivery of the Font Software before the end of the withdrawal period may result in the loss of that right only where all applicable legal conditions have been satisfied.
In particular, where required by French consumer law, this includes the consumer’s prior express consent to immediate performance, acknowledgement of the loss of the right of withdrawal and confirmation of that agreement in accordance with applicable legal requirements.
The mere downloading or installation of the Font Software does not, by itself, replace these requirements.
By ticking « YES » when ordering, the Licensee requests immediate access to the Font Software and acknowledges the resulting loss of the right of withdrawal, as set out in the Terms of Sale.
The applicable purchasing, payment, delivery and withdrawal conditions are further described in ZEROZORO’s Terms of Sale.
Nothing in this Agreement excludes statutory rights or remedies relating to defective or non-conforming digital content.
15. Existing Licences and Changes to this Agreement
This version of the Agreement applies to licences purchased on or after its effective date, unless otherwise expressly agreed.
Licences purchased before that date remain governed by the conditions applicable at the time of purchase, together with any subsequent written agreement between the parties.
ZEROZORO may revise this EULA for future purchases.
Such revisions do not automatically modify the rights granted under existing perpetual licences.
Any changes to an existing licence must have a valid contractual or legal basis.
16. Governing Law and Disputes
This Agreement is governed by French law.
The parties agree to attempt to resolve any dispute concerning this Agreement amicably before initiating legal proceedings, where reasonably possible.
Any dispute will be submitted to the competent courts determined under applicable law.
Nothing in this Agreement limits the mandatory protections, remedies or jurisdictional rights available to consumers under French or European law.
17. General Provisions
17.1. Entire Agreement
This Agreement, the purchase confirmation and any applicable written Extended Licence together define the rights granted in relation to the Font Software.
The Terms of Sale govern the commercial conditions of the purchase.
Where an Extended Licence grants specific additional rights, those specific terms prevail over the Standard Licence for the uses expressly covered.
17.2. Severability
If any provision of this Agreement is found invalid or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.
17.3. No Waiver
Failure by ZEROZORO to enforce a provision on one occasion does not constitute a waiver of the right to enforce that provision in the future.
17.4. Written Permissions
Written permission may include email correspondence or another written confirmation issued by an authorised representative of ZEROZORO.
